Constitution and By-Laws




Name [Article I]

The name of this organization shall be the State University of New York Association for Institutional Research and Planning Officers.



Purpose [Article II]

The purposes of this association shall be as follows: to provide opportunities for the discussion, understanding and improvement of SUNY procedures and practices of institutional research and planning.


Membership [Article III]

The regular membership of the Association shall consist of the staff members in the functional areas of institutional research and planning at each of the SUNY University Centers, Colleges of Arts and Sciences, Specialized Colleges, Colleges  of Technology, Statutory Colleges, and Community Colleges.

Members of System Administration engaged in institutional research and planning activities, and other individuals deemed appropriate by the Association's Executive Committee, are encouraged to join the Association.

All Association members in good standing are permitted to cast one vote at Association meetings. Good standing refers to the payment of membership dues. When no membership dues and/or fees are levied, all members are assumed to be in good standing.

The Association may confer emeritus status on members who retire from service in SUNY institutional research and planning offices. Such members will pay no membership dues and/or fees and will be charged one-half the cost of annual conference registration.


Meetings [Article IV]

There will be an annual meeting of the Association. The Executive Committee will determine the dates and location at least three month in advance. Additional meetings may be scheduled each year by the Association's Executive Committee.

Special meetings may be called as deemed necessary by the Executive Committee and/or President of the Association.

The members present will constitute a quorum, providing one-third of the members in good standing are present. In cases where amendments to the Association's Constitution and By-Laws are involved, Article VII will apply.

Robert's Rule of Order shall prevail in the conduct of meetings of this Association.



Officers & Duties [Article V]

The officers of this Association shall be the President, the Vice-President, and the Secretary/Treasurer each for a one-year term.

The President shall preside at all meetings of the organization, shall conduct the affairs of the Association, shall represent the Association as appropriate, shall be president of the Executive Committee, and shall appoint the Program Chair.

The Vice-President shall preside in the absence of the President, shall assist the President, shall assume such special assignments as may be directed by the President or Executive Committee, and shall succeed the President as leader of this organization.

The Secretary/Treasurer shall carry on the normal duties of an organization Secretary, shall distribute notices and minutes of meetings, shall carryon the correspondence for the Association, and shall make disbursements as directed by the President and shall make an accounting report at the annual meeting.

The Executive Committee shall meet as prescribed by the President and the activity of the Association. It shall act to assure the proper conduct of the Association's business and the satisfactory accomplishment of the Association's purposes and objectives.

Elections

Elections shall be held at the annual meeting or by mail in the Spring and those elected shall take office on the last day of the annual meeting or as of the first of July if circumstances do not allow an annual meeting. Each year an alternating half of the Executive Committee shall be elected. Following election of the initial Executive Committee, the alternating election cycle will be determined by lot.

The Executive Committee shall present a slate of officers and Executive Committee members. The Executive Committee nominating report shall be presented to the membership 30 days prior to the election.

Nominations will be accepted from the floor at the annual meeting.

Elections will be open to the general membership at the annual meeting.

The Executive Committee has the power to fill vacancies as they occur.



Association Funds [Article VI]

The Association reserves the right to levy nominal dues and/or fees.

Changes in the dues and/or fees levied upon the membership requires a two-thirds majority vote of approval at any meeting of the membership.

Membership dues and/or fees cover the period beginning the first day of an annual meeting to the day preceding the first day of the next annual meeting.



Amendments [Article VII]

The constitution and By-Laws may be amended by a two-thirds majority vote at any meeting of the membership at which at least fifty percent (50%) of the voting members are in attendance.

A statement of the proposed amendment(s) shall be distributed in the hands of the membership a minimum of 30 days before the scheduled meeting at which the vote will be taken.
